We welcome the chance to work with developers and investors on creating their condominium regimes. We charge a flat fee per regime plus the filing fees paid to the county and Texas Secretary of State . Our documents are not the basic, one size fits all documents that most attorneys use, and we customize the documents as needed for the specific project. We typically ask the developer to fill out our standard “Information Needed Sheet” which gives us the data we need to get started.
Our condominium regime creation services include:
- Preparing the Declaration;
- Preparing the Condominium Information Statement;
- Preparing the Bylaws and Rules and Regulations;
- Filing the Certificate of Formation for the HOA – I will form a non-profit corporation;
- Preparing the Unanimous Written Consent for Organizational Meeting of the HOA;
- Securing the Consent of Registered Agent;
- Drafting an SS4 & Obtain EIN for HOA;
- Preparing the Unanimous Written Consent for Change of Officers (to remove the developer from the HOA);
- Providing Forms 401 and/or 402 to the closer to remove the developer as Registered Agent of the HOA);
- Mark-up the final survey and coordinate with the surveyor to create the condominium certified plat;
- Coordinating with (i.e. provide formation documents and EIN to) an insurance agent to obtain an insurance quote and get the condo master and/or liability insurance policy in place, and introduce you to the agent so that you can provide any information solely within your knowledge;
- Coordinating the regime approval with the title company and reviewing the condominium legal description;
- Coordinating the regime approval with buyer’s lenders;
- Consulting with your listing agent regarding the structure of the regime (so he or she may effectively communicate about the regime with buyers); and
- Answering buyer’s agent and buyer questions.
Also, for an additional small fee, we will fill out any Lender Condominium Questionnaire.
Ishmael Law Firm PC (“ILF”) makes no representation, and does not confirm, that your project meets all zoning requirements or that it conforms with all restrictions, covenants or conditions. ILF assumes that you as Builder / Developer / Owner have done all necessary due diligence.
